Terms of Service

1. Acceptance of terms

By creating an account or using Kushimio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you and Kushimio. We may update them from time to time — continued use after changes are posted constitutes acceptance.

2. Description of the Service

Kushimio is an online accounting and ledger platform that allows users to create, manage, and share financial ledgers. The Service is offered under several subscription tiers (Free, Go, and Pro) with different feature limits as described on our pricing page.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

3. Account registration

• You must provide a valid email address and verify it to activate your account.
• You must be at least 16 years old to use the Service.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
• You may not create more than one account per person, share your account with others, or transfer your account to another party.
• Notify us immediately at support@kushimio.com if you suspect unauthorised access to your account.

4. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Store, transmit, or process any data that is fraudulent, illegal, or infringes on third-party rights.
• Attempt to gain unauthorised access to the Service, its servers, or other users' accounts.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use automated means (bots, scrapers) to access or interact with the Service beyond normal use.
• Resell or redistribute access to the Service without our written permission.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

5. Your content

All ledger data, transactions, and other content you create in Kushimio ("Your Content") remains yours. We claim no ownership over it.

You grant us a limited licence to store, process, and display Your Content solely for the purpose of providing the Service to you. This licence ends when you delete your content or your account.

You are solely responsible for the accuracy and legality of Your Content. Kushimio is a tool — we do not review, audit, or verify the financial data you enter.

6. Subscriptions and billing

• Paid subscriptions (Go and Pro) are billed on a monthly or yearly basis through Stripe. By subscribing you authorise us to charge your payment method on a recurring basis.
• All prices are shown inclusive or exclusive of applicable taxes depending on your location. You are responsible for any taxes applicable in your jurisdiction.
• If a payment fails, your subscription may be downgraded to the Free plan after a grace period.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period — you retain access until then.
• We do not offer refunds for partial billing periods except where required by applicable law.
• We reserve the right to change pricing with at least 30 days' notice. If you do not accept the new pricing, you may cancel before the change takes effect.

7. Service availability

We aim to keep Kushimio available and reliable, but we do not guarantee any specific uptime. The Service is provided "as is" and "as available." We may perform maintenance, updates, or emergency fixes that temporarily interrupt access — we will provide advance notice where reasonably practicable.

8. Intellectual property

The Kushimio name, logo, design, and software are our intellectual property and may not be used, copied, or reproduced without our written permission. These Terms do not grant you any rights to our intellectual property beyond what is necessary to use the Service.

9. Termination

You may delete your account at any time from your account settings. Upon deletion, all your data is permanently erased.

We may suspend or terminate your account if you materially breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Where possible, we will notify you before taking action.

10. Limitation of liability

To the fullest extent permitted by applicable law, Kushimio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) €50.

Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law. If you are a consumer in the EU, your statutory rights remain unaffected.

11. Indemnification

You agree to indemnify and hold harmless Kushimio from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Service.

12. Governing law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in our operating jurisdiction.

If you are a consumer resident in the EU, you also benefit from the mandatory consumer protection provisions of your country of residence, which these Terms do not override.
